Welcome to PickStocks.io. These Terms of Service ("Terms") govern your access to and use of the PickStocks.io website, applications, and services (collectively, the "Service") operated by Louis De Gong LLC ("Company," "we," "us," or "our").

3. Subscription and Payments

3.1 Subscription Plans

We offer various subscription tiers (Free, Pro, Elite, and Wealth) with different features and pricing. Current pricing and features are displayed on our pricing page and may be updated from time to time.

3.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method for the subscription fees.

3.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support.

3.4 Refunds

All subscription fees are non-refundable except as required by law. If you cancel your subscription, you will retain access until the end of your current billing period.

3.5 Price Changes

We reserve the right to modify our pricing. Any price changes will be communicated in advance and will apply to subsequent billing periods.

4. Intellectual Property Rights

4.1 Our Property

The Service and its original content, features, functionality, and underlying technology are owned by Louis De Gong LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

This includes, but is not limited to:

• The PickStocks Score algorithm and methodology
• All proprietary analysis tools and scoring systems
• Website design, graphics, and user interface
• Trademarks, logos, and brand elements
• All software code and documentation

4.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

4.3 Restrictions

You may NOT:

• Copy, modify, or create derivative works of any part of the Service
• Reverse engineer, decompile, or attempt to extract source code
• Remove or alter any proprietary notices or labels
• Use the Service to develop competing products
• Scrape, crawl, or use automated means to access the Service
• Resell, sublicense, or redistribute any part of the Service

5. User Conduct

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit malware, viruses, or harmful code
• Attempt unauthorized access to our systems
• Interfere with the proper functioning of the Service
• Engage in market manipulation or securities fraud
• Share account credentials with others
• Use automated bots or scripts without authorization

6. Third-Party Data and Services

Our Service incorporates data from third-party sources, including financial data providers and market data feeds. While we strive for accuracy, we do not guarantee the accuracy, completeness, or timeliness of third-party data.

Stock prices, financial metrics, and market data may be delayed and should not be used for time-sensitive trading decisions.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will meet your specific requirements

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOUIS DE GONG LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Investment losses or trading losses
• Business interruption
• Cost of substitute services
• Any damages arising from your use of the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Louis De Gong LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any investment decisions you make based on the Service

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and associated data
• Provisions that should survive termination will remain in effect

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last Updated" date.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
